Terms of Service

1. Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between Tensai Design Studios LLC, operating under the trade name TensaiRoutes ("TensaiRoutes", "we", "us", or "our"), a New Mexico limited liability company, and the entity or individual ("Customer", "you") accessing or using our wholesale voice over internet protocol (VoIP) termination services ("Services").

By registering for an account, topping up a balance, or sending any traffic through our network, you accept these Terms in full. If you do not accept these Terms, do not use the Services.

2. Eligibility and Account Registration

2.1 Business Use Only

The Services are offered exclusively to businesses, carriers, call centers, internet telephony service providers (ITSPs), and resellers. We do not provide services to residential consumers or end users. By registering, you represent that you are acting on behalf of a legally constituted business entity.

2.2 Accurate Information

You agree to provide accurate, complete, and current information during registration and to update that information promptly if it changes. We reserve the right to suspend or terminate accounts where we have reason to believe registration information is false, incomplete, or misleading.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and SIP authentication details. You are liable for all activity conducted through your account, whether or not authorized by you.

3. Services

3.1 Nature of Service

TensaiRoutes provides wholesale international SIP voice termination on a prepaid basis. Services are provided on a best-effort basis over the public internet. We do not guarantee specific call quality, answer-seizure ratios, post-dial delay, or network uptime, though we take reasonable steps to maintain service quality.

3.2 Supported Destinations

We offer termination to specific international destinations as published on our website or provided in your rate deck. Supported destinations and rates are subject to change. We will make reasonable efforts to notify customers of significant changes.

3.3 No Emergency Services (E911)

3.4 No US Domestic or Interstate Termination

TensaiRoutes does not offer and expressly prohibits the use of the Services for termination of calls to US domestic or interstate destinations. Permitted use is strictly limited to international traffic originating from outside the United States to international destinations as defined in the rate deck.

4. Universal Service Fund (USF) and Regulatory Compliance

4.1 International Traffic Only

TensaiRoutes provides international telecommunications services only. Our services do not include the provision of interstate or domestic US telecommunications services. Under this structure, TensaiRoutes operates as a reseller of international wholesale voice services and has submitted the applicable certification to its upstream carriers pursuant to FCC Form 499-B (Worksheet), Part I, Section (a), confirming its status as a reseller of international telecommunications services only.

4.2 Customer Obligation Regarding USF

To the extent Customer uses the Services to provide telecommunications services to its own end users or downstream resellers, Customer may have independent obligations to register with and contribute to the Federal Universal Service Fund (USF) pursuant to FCC Form 499 and applicable FCC rules. Customer is solely responsible for determining its own USF filing and contribution obligations. TensaiRoutes does not collect, withhold, or remit USF contributions on behalf of Customer.

4.3 Prohibition on US Domestic Use

Customer expressly agrees not to use the Services to carry, route, or terminate any US domestic or interstate traffic. In the event that Customer routes US domestic or interstate traffic through our network in violation of these Terms:

• Customer assumes sole and full liability for any resulting USF contribution obligations, regulatory penalties, or FCC enforcement actions;
• TensaiRoutes reserves the right to immediately suspend the account without notice and without refund of any unused balance;
• Customer shall indemnify and hold TensaiRoutes harmless from any fines, penalties, regulatory costs, or third-party claims arising from such traffic.

4.4 Customer Representations

By using the Services, Customer represents and warrants that:

• It will not use the Services to carry US domestic or interstate traffic;
• It has independently assessed and will comply with all applicable telecommunications regulations in the jurisdictions in which it operates, including but not limited to FCC rules, local number portability requirements, and any applicable data retention or lawful intercept obligations;
• Where it resells the Services to its own customers, it accepts full responsibility for its customers' compliance with applicable laws and regulations;
• It will not represent to its own customers that emergency calling services are available via traffic routed through our network.

4.5 CPNI

To the extent Customer Proprietary Network Information (CPNI) rules apply to Customer's own service offerings, Customer is solely responsible for compliance with FCC CPNI rules. TensaiRoutes does not collect CPNI from Customer's end users and makes no CPNI representations on Customer's behalf.

5. Acceptable Use

5.1 Prohibited Traffic

Customer agrees not to use the Services to originate, carry, or terminate:

• Calls intended to defraud, harm, or harass any person;
• Traffic associated with robocalling, auto-dialing, or mass unsolicited calls in violation of the Telephone Consumer Protection Act (TCPA) or equivalent legislation in any applicable jurisdiction;
• Traffic associated with international revenue share fraud (IRSF), wangiri, traffic pumping, or any other form of telecommunications fraud;
• Calls to premium rate numbers, satellite numbers, or any number type known to be associated with traffic pumping or fraudulent revenue generation;
• Calls to US domestic or interstate destinations;
• Calls to or from numbers on any applicable Do Not Call list where such calls would violate applicable law;
• Any traffic that violates applicable law in the originating or terminating jurisdiction.

5.2 CLI Integrity

Customer must ensure that all traffic routed through our network presents a valid, non-spoofed caller line identification (CLI) that accurately represents the originating number. Presentation of false, misleading, or spoofed CLI is prohibited and may result in immediate account suspension.

5.3 Traffic Monitoring

We reserve the right to monitor traffic patterns for fraud, abuse, or unusual activity. We may block or suspend traffic at our discretion if we detect patterns consistent with fraud, abuse, or violation of these Terms, without prior notice.

5.4 Customer Responsibility for Downstream Use

Where Customer resells or sub-routes traffic to its own customers, Customer is solely responsible for ensuring that its customers comply with these Terms and all applicable laws. Customer shall indemnify TensaiRoutes against any claims, penalties, or costs arising from Customer's downstream customers' traffic or conduct.

6. Prepaid Billing and Payment

6.1 Prepaid Only

All Services are provided on a prepaid basis. Calls will be rated against your prepaid balance in real time. Service will suspend automatically when your balance reaches zero. We do not extend credit.

6.2 Top-Up

Balances may be topped up via Payoneer or bank wire transfer as specified in your account portal. Top-up amounts are at your discretion subject to any minimums we communicate to you. Funds are typically applied within one to two business days of confirmed receipt.

6.3 Rates

Rates are as published in your assigned rate deck. Rates are subject to change. We will make reasonable efforts to provide advance notice of rate changes, but reserve the right to apply rate changes immediately where required by upstream carrier changes or network conditions.

6.4 No Refunds on Used Balance

Used minutes are consumed instantly and cannot be recovered. We do not provide refunds for used balance. Unused balance may be refunded at our discretion upon account termination, less any applicable processing fees, provided the account is in good standing and not suspended for a violation of these Terms.

6.5 Taxes

Customer is responsible for all applicable taxes, duties, or levies arising from its use of the Services. Amounts paid to TensaiRoutes are exclusive of any such taxes unless otherwise stated.

7. Service Limitations and Liability

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including upstream carrier failures, internet disruptions, acts of government, or natural events.

8. Suspension and Termination

8.1 Suspension by TensaiRoutes

We may suspend or terminate your account immediately and without prior notice if:

• Your balance reaches zero;
• We detect fraud or abuse;
• You violate any provision of these Terms;
• We are directed to do so by a regulatory or law enforcement authority.

8.2 Termination by Customer

You may request account closure at any time by contacting us at hello@tensairoutes.com. Termination does not waive any obligations incurred prior to the termination date.

9. Indemnification

Customer agrees to indemnify, defend, and hold harmless TensaiRoutes, its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, penalties, fines, costs, and expenses (including reasonable legal fees) arising from:

• Customer's use of the Services;
• Customer's breach of these Terms;
• Customer's downstream customers' use of the Services;
• Any regulatory action arising from Customer's traffic or compliance failures;
• Any claim by a third party arising from calls carried on Customer's behalf.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of New Mexico, without regard to conflict of law principles. Any dispute arising from these Terms or the Services that cannot be resolved informally shall be submitted to binding arbitration under the rules of the American Arbitration Association in Albuquerque, New Mexico. Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction.

11. Changes to These Terms

We may update these Terms at any time. Updated Terms will be posted at tensairoutes.com/terms with a revised effective date. Continued use of the Services after the effective date of updated Terms constitutes acceptance.
